License and Terms of Use

QUICK REFERENCE
Licensor: Equitus Corporation
Licensed Work: ARCXA ("the Software")
Change Date: Four (4) years from the date each version is first publicly released

Free for: Non-production use, evaluation, research, and internal development
Production use: Requires a commercial license from Equitus Corporation

1. DEFINITIONS

"Licensor"
Equitus Corporation, a Florida corporation.

"Licensed Work"
The ARCXA software, including all source code, object code, documentation,
configuration files, and related materials made available by the Licensor
under this License.

"Change Date"
The date that is four (4) years after the date on which the applicable
version of the Licensed Work was first made publicly available by the
Licensor.

"Change License"
Apache License, Version 2.0
(https://www.apache.org/licenses/LICENSE-2.0)

"Additional Use Grant"
Any additional permissions granted by the Licensor in a separate written
agreement.

"Production Use"
Any use of the Licensed Work that directly or indirectly generates revenue,
is used in a commercial product or service, or is deployed in a production
environment serving end users outside of your organization.

2. GRANT OF RIGHTS

2.1 Non-Production Use (Free)

Subject to the terms and conditions of this License, the Licensor hereby
grants you a worldwide, non-exclusive, non-transferable, royalty-free license
to:

- Copy, modify, and distribute the Licensed Work for non-production purposes
- Use the Licensed Work for evaluation, testing, research, academic study,
and internal development
- Deploy the Licensed Work in non-production environments including
development, staging, and quality assurance
- Create derivative works based on the Licensed Work for non-production use

2.2 Production Use (Commercial License Required)

Production Use of the Licensed Work requires a separate commercial license
agreement with Equitus Corporation. Production Use includes but is not limited
to:

- Deploying the Licensed Work in any environment that serves paying customers
or end users
- Incorporating the Licensed Work into a commercial product or service
offering
- Using the Licensed Work to generate revenue, directly or indirectly
- Providing the Licensed Work as a managed service, hosted service, or
software-as-a-service offering
- Using the Licensed Work in a production data migration program on behalf of
a client or third party

2.3 Automatic Conversion to Open Source

On the Change Date applicable to each version of the Licensed Work, the rights
granted under this License convert automatically to the rights granted under
the Change License (Apache License 2.0) for that version. After the Change
Date, you may use that version under either this License or the Change License.

3. CONDITIONS AND RESTRICTIONS

3.1 Attribution

All copies or substantial portions of the Licensed Work, whether in original
or modified form, must include:

- This License in full
- The following copyright notice: Copyright (c) [YEAR] Equitus Corporation. All Rights Reserved.
- A clear statement identifying the Licensed Work and Licensor
- Any modifications made to the original Licensed Work, clearly marked as such

3.2 No Circumvention

You may not use the Licensed Work in a manner designed to circumvent the
commercial license requirement. This includes but is not limited to:

- Offering the Licensed Work or a substantially similar derivative as a
competing commercial migration intelligence, data observability, or
transformation lineage service without a commercial license
- Removing or altering any license notices, copyright statements, or
attribution requirements contained in the Licensed Work
- Sublicensing the Licensed Work to third parties for Production Use without
the Licensor's written consent

3.3 Distribution of Modified Works

If you distribute or make available a modified version of the Licensed Work,
you must:

- Include this License with all copies
- Clearly mark all modifications as your own and not attribute them to
Equitus Corporation
- Not use the Equitus name, logo, or trademarks to endorse or promote your
modifications without prior written permission

3.4 No Trademark License

This License does not grant permission to use the trade names, trademarks,
service marks, or product names of Equitus Corporation, including "Equitus,"
"ARCXA," "KGNN," or "Equitus Video Sentinel," except as required for
reasonable and customary use in describing the origin of the Licensed Work.

4. WHAT IS AND IS NOT PERMITTED

PERMITTED WITHOUT A COMMERCIAL LICENSE

- Downloading and running ARCXA on your own infrastructure for evaluation
- Using ARCXA in development, staging, and QA environments
- Contributing bug fixes or improvements back to the project
- Academic research and educational use
- Internal proofs of concept not deployed in production
- Migration engineers using ARCXA as a personal tool during consulting
engagements (non-billable evaluation)

REQUIRES A COMMERCIAL LICENSE

- Deploying ARCXA in production migrations for paying clients
- Embedding ARCXA in a commercial product or platform
- Offering ARCXA as a managed, hosted, or SaaS service
- Using ARCXA as part of a billable system integrator engagement
- Internal production deployment within an organization generating revenue
from its output
- Any redistribution bundled with a commercial product

5. DISCLAIMER OF WARRANTIES

THE LICENSED WORK IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS
OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE LICENSOR
DOES NOT WARRANT THAT THE LICENSED WORK WILL BE ERROR-FREE, THAT DEFECTS WILL
BE CORRECTED, OR THAT THE LICENSED WORK IS FREE OF VIRUSES OR OTHER HARMFUL
COMPONENTS.

6. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EQUITUS
CORPORATION BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY,
CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR
LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR PROCUREMENT OF
SUBSTITUTE GOODS OR SERVICES), HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY,
WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT, ARISING IN ANY WAY OUT OF THE
USE OR INABILITY TO USE THE LICENSED WORK, EVEN IF EQUITUS CORPORATION HAS
BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. TERMINATION

Your rights under this License will terminate automatically and without notice
if you fail to comply with any term of this License. Upon termination, you must
immediately cease all use, distribution, and possession of the Licensed Work
and destroy all copies in your control. Sections 5, 6, 8, and 9 shall survive
termination.

8. GOVERNING LAW AND DISPUTE RESOLUTION

This License shall be governed by and construed in accordance with the laws of
the State of Florida, United States, without regard to its conflict of law
principles. Any dispute arising out of or relating to this License shall be
subject to the exclusive jurisdiction of the state and federal courts located
in Pinellas County, Florida. You hereby consent to personal jurisdiction and
venue in such courts.

9. GENERAL PROVISIONS

Entire Agreement
This License constitutes the entire agreement between the parties with
respect to the Licensed Work and supersedes all prior or contemporaneous
understandings regarding the subject matter, except where a separate
commercial license agreement has been executed.

Severability
If any provision of this License is held to be invalid or unenforceable,
the remaining provisions shall continue in full force and effect.

Waiver
No failure or delay by the Licensor in exercising any right under this
License shall constitute a waiver of that right.

Amendments
The Licensor reserves the right to publish updated versions of this
License. Each version of the Licensed Work will be governed by the version
of this License under which it was first released, unless the Licensor
expressly specifies otherwise.
